1. Agreement to Terms
By accessing or using Black Node's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Services.
These Terms apply to all visitors, users, and others who access or use the Services.
2. Description of Services
Black Node provides information technology services including but not limited to:
- Managed IT services and help desk support
- Cybersecurity services and security audits
- Custom AI agents and automation solutions
- GPU cloud computing infrastructure
- Cloud migration and management
- Network design and implementation
- Compliance consulting and implementation
3. User Accounts
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.
You are responsible for safeguarding the password you use to access the Services and for any activities or actions under your password.
You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
4. Payment Terms
For paid Services, you agree to pay all fees associated with your selected plan. Fees are non-refundable except as required by law or as explicitly stated in these Terms.
- Subscription fees are billed in advance on a monthly or annual basis
- Usage-based fees (GPU compute, API calls) are billed in arrears
- All prices are in US Dollars unless otherwise stated
- We may change our fees upon 30 days' notice
5. Service Level Agreement
We strive to provide reliable Services with the following commitments:
- Uptime: 99.9% availability for production services
- Support Response: Initial response within 15 minutes for critical issues
- Data Backup: Daily backups with 30-day retention (standard plans)
Service credits may be available for verified outages exceeding our SLA commitments.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights
- Transmit malware, viruses, or harmful code
- Engage in unauthorized access or hacking
- Send spam or unsolicited communications
- Mine cryptocurrency without explicit permission
- Store or process illegal content
7. Intellectual Property
The Services and their original content, features, and functionality are and will remain the exclusive property of Black Node and its licensors.
You retain ownership of any content you submit, post, or display through the Services. By providing content, you grant us a license to use, modify, and display that content as necessary to provide the Services.
8. Data Protection
We take data protection seriously and implement appropriate security measures. Our data handling practices are detailed in our Privacy Policy.
For clients requiring HIPAA, SOC 2, or other compliance standards, additional terms may apply as specified in your service agreement.
9. Limitation of Liability
In no event shall Black Node, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
Our total liability shall not exceed the amount paid by you, if any, for accessing our Services during the twelve (12) months prior to the claim.
10. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Services will cease immediately. If you wish to terminate your account, you may simply discontinue using the Services or contact us.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
